1Introduction and Acceptance
Welcome to IndXPro ("Platform", "Service", "we", "us", or "our"). IndXPro is an AI-powered stock market analysis and scanning platform designed specifically for the Indian equity markets. By accessing or using our Platform, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and IndXPro. If you do not agree to these Terms, you must not access or use the Platform.
IMPORTANT LEGAL NOTICE: This Platform is governed by the laws of India, including but not limited to the Information Technology Act, 2000, the Securities and Exchange Board of India Act, 1992, and all applicable rules and regulations thereunder.
2Definitions
In these Terms, unless the context otherwise requires:
- •"AI Analysis" means the artificial intelligence-powered stock analysis, predictions, recommendations, and insights provided by the Platform.
- •"Content" means all information, data, text, graphics, charts, analysis, and other materials available on or through the Platform.
- •"Indian Securities Markets" means the National Stock Exchange of India (NSE), Bombay Stock Exchange (BSE), and any other recognized stock exchange in India.
- •"Subscription" means the paid membership plans offered by IndXPro (Free, Starter, Pro, or Elite tiers).
- •"User Data" means any data, information, or content that you provide or generate while using the Platform.
3Eligibility
To use the Platform, you must:
- ✓Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
- ✓Be a resident of India or have the legal capacity to enter into contracts under Indian law
- ✓Have a valid email address and provide accurate registration information
- ✓Not be prohibited from using the Platform under any applicable law or regulation
- ✓Have a valid demat account with a SEBI-registered broker (for acting on any recommendations)

4.1 Not Investment Advice
IndXPro is NOT a SEBI-registered Investment Adviser, Research Analyst, or Portfolio Manager. The Platform provides AI-generated analysis and educational content ONLY. Nothing on this Platform constitutes, or should be construed as:
- ✗ Investment advice or recommendations
- ✗ An offer or solicitation to buy or sell securities
- ✗ A guarantee of future performance or returns
- ✗ Professional financial, tax, or legal advice
- ✗ A substitute for advice from a qualified SEBI-registered professional
4.2 Investment Risks
INVESTMENTS IN SECURITIES MARKETS ARE SUBJECT TO MARKET RISKS. READ ALL RELATED DOCUMENTS CAREFULLY BEFORE INVESTING. Past performance is not indicative of future results. The value of investments can go down as well as up, and you may lose some or all of your invested capital.
4.3 AI Limitations
Our AI analysis is based on historical data, technical indicators, and pattern recognition. AI predictions and confidence scores are probabilistic estimates and NOT guarantees. The Platform's stated win rates (e.g., 62-68%) are based on backtested data and may not reflect actual future performance. You acknowledge that:

- ⚡ Backtested results do not guarantee future performance
- ⚡ You are solely responsible for your investment decisions
4.4 Your Responsibility
You must conduct your own due diligence and research before making any investment decisions. You should consult with a SEBI-registered Investment Adviser, Research Analyst, or other qualified professional before acting on any information from the Platform.
5Services and Subscription Tiers
5.1 Platform Services
IndXPro provides the following services:
- • AI-powered stock scanning and analysis for Indian equity markets
- • Technical pattern detection (momentum, mean reversion, breakouts)
- • AI confidence scores and holding period suggestions
- • Portfolio tracking and performance analytics
- • Price alerts and notifications
5.2 Subscription Tiers
The Platform offers four subscription tiers:
6Payments and Billing
6.1 Payment Processing
All payments are processed through Razorpay, a SEBI-registered payment aggregator. By making a payment, you agree to Razorpay's terms of service. All prices are in Indian Rupees (INR) and include applicable GST.
6.2 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period unless cancelled.
6.3 Refund Policy
Due to the digital nature of our services, we offer a 7-day refund window from the date of purchase for first-time subscribers only. To request a refund, contact [email protected] within 7 days of your initial subscription. Refunds are not available for renewals or if you have used more than 10 scans during the refund period.
7User Conduct and Restrictions
You agree NOT to:
- ✗ Share your account credentials with others or allow multiple users on a single account
- ✗ Use automated scripts, bots, or scrapers to access the Platform
- ✗ Redistribute, resell, or commercially exploit Platform content without authorization
- ✗ Attempt to reverse engineer, decompile, or hack the Platform
- ✗ Use the Platform for market manipulation, insider trading, or any illegal activity
- ✗ Provide false information during registration or payment
- ✗ Violate any applicable laws, including SEBI regulations
8Intellectual Property
All intellectual property rights in the Platform, including but not limited to software, algorithms, AI models, user interface, graphics, logos, and content, are owned by IndXPro or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes only.
9Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- • IndXPro shall NOT be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- • IndXPro shall NOT be liable for any investment losses, trading losses, or financial damages resulting from reliance on Platform content
- • Our total liability shall not exceed the amount paid by you for the subscription in the 12 months preceding the claim
- • The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
10Indemnification
You agree to indemnify, defend, and hold harmless IndXPro, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your investment decisions; or (d) your violation of any applicable law or third-party rights.
11Data Protection and Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023.
12Termination
12.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation will take effect at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately if you: (a) violate these Terms; (b) engage in fraudulent activity; (c) fail to pay subscription fees; or (d) pose a risk to the Platform or other users.
13SEBI Compliance Statement
IndXPro operates as an AI-powered educational and analytical tool. We are NOT registered with the Securities and Exchange Board of India (SEBI) as:
- • Investment Adviser under SEBI (Investment Advisers) Regulations, 2013
- • Research Analyst under SEBI (Research Analysts) Regulations, 2014
- • Portfolio Manager under SEBI (Portfolio Managers) Regulations, 2020
All stock analysis, recommendations, and insights provided on this Platform are purely educational in nature and should not be construed as investment advice. Users are strongly advised to consult with SEBI-registered professionals before making any investment decisions.
14Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiations. If negotiations fail, the dispute shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in Bangalore, Karnataka, India. The decision of the arbitrator shall be final and binding.
14.3 Jurisdiction
Subject to the arbitration clause above, the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any matters not subject to arbitration.
15Miscellaneous
- •Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and IndXPro.
- •Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- •Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
- •Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations freely.
- •Amendments: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use after such changes constitutes acceptance.
